4. Demonstration environments
Demonstration environments (currently including the AI for Procurement tools at greyorbits.com/test/ai) are provided free of charge and for evaluation purposes only. They are not production services.
By using a demonstration environment, you specifically acknowledge and agree that:
- Outputs are generated by artificial intelligence and may contain errors, omissions, fabrications, or misinterpretations
- You must independently verify any output before relying on it for any commercial, legal, regulatory, financial, or operational decision
- Inputs you provide may be transmitted to third-party AI providers (including Anthropic, whose API is currently used) and may transit through cloud infrastructure outside Singapore
- You bear sole responsibility for ensuring that any data you submit is lawful, authorised for such transmission, and consistent with your own organisation’s data handling policies
- Grey Orbits makes no commitment to availability, uptime, response time, or continuity of any demonstration environment, and may modify or withdraw access at any time without notice
5. Limitation of liability
This section distinguishes between two categories of Service: the test environment (provided free of charge for evaluation only), and paid engagements (governed by a separate contract). The protections that apply to each are different.
5A. Test environment — no liability
The test environment includes any demonstration, evaluation, or trial Service made available without charge, currently including the AI for Procurement tools at greyorbits.com/test/ai and any successor environments.
By accessing or using the test environment, you acknowledge and agree that:
- The test environment is provided strictly on an “as-is” and “as-available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Grey Orbits expressly disclaims all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, non-infringement, and uninterrupted operation.
- No fee, payment, or commercial consideration has passed between you and Grey Orbits in respect of your use.
- You bear full and sole responsibility for your use of the test environment, the inputs you submit, the outputs you receive, and any actions you take based on those outputs.
- To the maximum extent permitted by law, Grey Orbits accepts no liability whatsoever for any loss, damage, cost, claim, or expense arising from or in connection with your use of the test environment, of any nature whatsoever and however caused, including but not limited to:
- Direct, indirect, special, incidental, consequential, or exemplary loss
- Loss of profit, revenue, business, opportunity, contract, goodwill, or anticipated savings
- Loss of, damage to, or unauthorised disclosure of data
- Reputational damage, regulatory penalties, or third-party claims
- Business interruption, system downtime, or operational disruption
- This exclusion applies whether the loss arises from contract, tort (including negligence), breach of statutory duty, or any other cause, and whether or not Grey Orbits was advised of the possibility of such loss.
- Grey Orbits makes no commitment to availability, uptime, response time, or continuity of the test environment, and may modify, suspend, or withdraw access at any time without notice and without liability.
The test environment is offered as a courtesy for evaluation purposes only. If you require a service with assurances, warranties, or contractual protections, engage Grey Orbits under a paid contractual arrangement.
5B. Paid engagements — governed by contract
For Services provided under a paid engagement, including advisory mandates, due diligence reviews, executive education, and bespoke deployments:
- The liability of Grey Orbits is governed by the terms of the specific engagement letter, statement of work, or master services agreement entered into between you and Grey Orbits for that engagement.
- Where such contractual terms exist, they take precedence over this policy in respect of liability arising from the paid Service.
- Where such contractual terms are silent on a particular matter of liability, the provisions of this policy apply as a default, subject to negotiation under the relevant engagement letter.
5C. Exceptions
Nothing in this policy excludes or limits liability for:
- Death or personal injury caused by Grey Orbits’ negligence
- Fraud or fraudulent misrepresentation by Grey Orbits
- Any liability that cannot lawfully be excluded under Singapore law
[Note: this section reflects Grey Orbits’ position pending legal review. Specific wording and any monetary caps will be refined following advice from qualified counsel.]
6. Your indemnity to Grey Orbits
You agree to indemnify, defend, and hold harmless Grey Orbits, its directors, employees, and contractors against all claims, demands, proceedings, losses, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with:
- Any breach by you of this policy
- Any content you upload, submit, or transmit through the Services
- Any unauthorised use of the Services by you or any person using your credentials
- Any third-party claim, regulatory action, or law-enforcement inquiry arising from your use of the Services
- Any malicious, harmful, or prohibited content traceable to your use, including the costs of investigation, remediation, system restoration, and claims by Grey Orbits’ service providers including Anthropic and Streamlit
This indemnity survives termination of your use of the Services.
7. Monitoring, logging, and disclosure
Grey Orbits does not routinely log, store, or analyse the content of inputs submitted to its demonstration environments, consistent with the data handling commitments made elsewhere on the Services.
However, Grey Orbits reserves the right, at its sole discretion, to:
- Monitor and record activity where there is reasonable suspicion of malicious use, abuse, or violation of this policy
- Retain and analyse evidence of prohibited activity, including content of submissions, source IP addresses, browser fingerprints, and timing data
- Disclose such evidence to law enforcement, regulators, and affected third parties without prior notice to you
- Suspend or terminate your access immediately and without notice
- Pursue legal remedies, including injunctive relief and recovery of damages
These rights apply notwithstanding any data handling assurances elsewhere on the Services, where prohibited activity is reasonably suspected.
8. Intellectual property
All content published on greyorbits.com, including articles, frameworks, methodologies, branding, and software, remains the intellectual property of Grey Orbits or its licensors. The PETALS™ Framework name is a registered trademark with IPOS.
Use of Grey Orbits’ content is governed by our Copyright Notice. Nothing in this policy grants you any licence, right, or interest in Grey Orbits’ intellectual property beyond what is necessary to use the Services for their intended purpose.
9. Changes to this policy
Grey Orbits may amend this policy at any time. Material changes will be reflected in the “Last updated” date at the top of this page. Your continued use of the Services after such changes constitutes acceptance of the revised policy.
10. Governing law and jurisdiction
This policy and any dispute or claim arising from it (including non-contractual disputes) are governed by the laws of the Republic of Singapore.
You agree to submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any such dispute, save that Grey Orbits retains the right to bring proceedings in any jurisdiction where you reside or hold assets.
11. Severability
If any provision of this policy is held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
